DIRECTORS STATEMENT


1.   In the opinion of the directors of the Internet Society of Australia:

  (a)   the income and expenditure statement gives a true and fair view
        of the company' results for the year ended 30 June 2000; and

  (b)   the balance sheet gives a true and fair view of the company's
        state of affairs as at 30 June 2000; and

  (c)   as at the date of this statement there are reasonable grounds
        to believe that the company will be able to pay its debts as and when
        they fall due.


2.    The financial statements of the company have been made out in
      accordance with Statements of Accounting Concepts and applicable
      Accounting Standards.
